📜 Mahi Miro Collective – Terms and Conditions of Membership

1. Purpose of the Collective
The Mahi Miro Collective is a kaupapa-driven initiative established to create collective buying power, improve access to high-value print and merchandise services, and support the growth of Ngāi Tahu whānau-owned and kaupapa-aligned businesses. Membership grants access to tiered pricing, support services, and additional benefits as outlined in the Collective offer.
2. Membership Eligibility
Membership is available to businesses, organisations, and entities affiliated with or aligned to Te Rūnanga o Ngāi Tahu, its subsidiaries, Papatipu Rūnanga, and associated whānau-led businesses. Whānau-owned businesses should be registered on the Ngāi Tahu Business Directory as evidence of whakapapa.
Team Mana Supplies reserves the sole and absolute right to accept or decline any applicant for membership in the Collective, at its discretion and without the obligation to provide reasons.
Participation in the Collective does not constitute a partnership, joint venture, agency, or guarantee of service beyond that which is expressly outlined.
3. Removal from the Collective
Team Mana Supplies reserves the right to remove any business, member, or participant from the Collective at any time, for any reason, and without liability to the removed party.
Removal may occur for reasons including (but not limited to) breach of terms, reputational risk, changes to business structure, or behaviour deemed inconsistent with the values of the Collective.
4. Pricing, Benefits, and Changes
Team Mana Supplies reserves the right to update, amend, withdraw, or modify any benefits, pricing structures, or participation criteria of the Collective at its sole discretion.
Where practical, changes will be communicated via email, website updates, or other appropriate channels.
5. Use of Benefits
Benefits such as free setups, design refreshes, storage, and priority support are available only while membership remains active.
Any misuse or abuse of benefits (including but not limited to misrepresentation or unauthorised resale at cost) may result in immediate suspension or termination of membership.
6. Orders, Payments, and Delivery
All orders are subject to the standard production, payment, and delivery terms of Team Mana Supplies.
Unless otherwise agreed, payment must be made as per the agreed terms (e.g., prior to production, or on invoice).
Failure to meet payment obligations may result in suspension of tier benefits until the account is brought current.
Team Mana Supplies will use all reasonable efforts to fulfil orders in a timely manner. However, delays arising from circumstances beyond our control (e.g., freight delays, supply chain disruptions) shall not constitute a breach of agreement.
7. Fulfilment, Storage, and Shipping (Tier 2+ Members)
Members eligible for storage are entitled to up to six (6) months of free storage for approved stock, subject to available space.
Requests for staggered fulfilment must be accompanied by clear written instructions and reasonable lead time.
Additional fees may apply for storage or handling beyond agreed limits.
8. Intellectual Property
All designs created by or through Team Mana Supplies on behalf of the customer become the intellectual property of the customer upon full payment.
Team Mana Supplies reserves the right to use final print samples for promotional purposes unless the customer requests otherwise in writing.
All intellectual property rights in Team Mana Supplies' own designs, systems, offers, processes, branding, and the Mahi Miro Collective logo remain the property of Team Mana Supplies. Use of the Mahi Miro Collective logo is permitted only while the member remains active and registered with the Collective.
9. Sponsorship Bump and Co-Branding
Members may access a temporary “tier bump” for orders aligned with sponsored kaupapa or events (including sport, rangatahi initiatives, or cultural activities).
Approval of sponsorship status and eligibility for tier adjustment is at the sole discretion of Team Mana Supplies.
Any co-branding arrangements must be agreed in writing prior to use.
10. Privacy and Data Use
Member information will be kept confidential and used solely to support the operations of the Collective (e.g., reporting, communications, logistics).
Team Mana Supplies will not disclose member data to third parties except where required by law or with the member's explicit written consent.
By joining the Collective, you grant Team Mana Supplies permission to display your business name, logo, and branding for promotional purposes, including but not limited to use on websites, social media, and printed materials.
You may request the removal of your branding at any time by written notice; however, Team Mana Supplies reserves the right to determine the extent and timing of any removal in relation to existing marketing materials.
11. Cancellation or Exit
Members may cancel their membership at any time by providing written notice.
Upon cancellation, any unredeemed benefits or stock held in storage must be actioned within 30 days of the date of exit. Any outstanding fees must be settled.
Tier status and associated benefits are non-transferable unless otherwise agreed in writing.
12. Dispute Resolution
In the event of a dispute, the parties agree to:

First, engage in open and respectful dialogue in an attempt to resolve the matter;

If unresolved, refer the matter to an independent mediator prior to pursuing any legal proceedings.
13. Updates to Terms
These Terms and Conditions may be updated from time to time as the needs of the Collective evolve.
Where material changes are made, members will be notified, and given the opportunity to withdraw from the Collective should they not agree with the updated terms.
14. General
Participation in the Collective is voluntary and can be terminated by either party at any time by providing written notice.
By participating, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
